EXVAST-GFX Terms of Use / 利用規約

These terms govern your use of the EXVAST-GFX software (the "Software") provided by EXVAST.LIVE ("we", "us"). By installing or launching the Software, you agree to these terms.

1. License

  1. We grant you a non-exclusive, non-transferable license to use the Software within the scope of your plan.
  2. One account can be used on up to two devices at the same time.
  3. After signing in, you can use the Software offline for up to 7 days. After 7 days, you need to connect to the internet to verify your account.

2. Your graphics

You may freely use the graphics you create with the Software, and any video that contains them (including streams, recordings and images), in your own broadcasts, recordings and publications, for both commercial and non-commercial purposes.

3. Fees, cancellation and refunds

  1. Paid plans renew automatically every month. Payments are processed by Stripe.
  2. You can cancel at any time from your account settings. Billing stops from your next billing date, and you can keep using your plan until then.
  3. Due to the nature of digital products, payments are non-refundable, except where a refund is required by law.
  4. Before purchasing, please use the free trial to make sure the Software works in your environment. In the free trial, a watermark is shown, and each stream is limited to 5 minutes and each recording to 10 minutes.
  5. We will give you advance notice of any price changes.

4. Prohibited actions

You must not: 1. Modify, reverse engineer, decompile or disassemble the Software, except to the extent permitted by applicable law or by the licenses of open-source components included in the Software (for example, you may modify or replace the FFmpeg libraries, which are licensed under the LGPL, and reverse engineer the Software as needed to debug such modifications). 2. Bypass, disable or spoof the license authentication of paid plans. 3. Copy, redistribute or resell the Software or its built-in designs (such as scoreboards) without permission. 4. Use the Software to break the law or infringe the rights of others.

5. Your content

You are responsible for having the rights to the content you use with the Software, such as team logos, player photos, video, music and fonts. We do not claim ownership of your content.

6. Disclaimer

To the extent permitted by law, the Software is provided "as is". For live broadcasts and important recordings, please prepare a backup in case of unexpected problems.

7. Limitation of liability

  1. Except in cases of our willful misconduct or gross negligence, our total liability related to the Software is limited to the fees you paid us in the one month before the damage occurred.
  2. This section does not limit any liability that cannot be limited by law.

8. Suspension

If you violate these terms, we may suspend your use of the Software without prior notice.

9. Support and updates

We make reasonable efforts to fix bugs and provide updates, but we do not guarantee that the Software works in every environment or provide individual support for specific hardware. When a new version is available, the Software may notify you when it starts.

10. Personal information and network access

  1. To let you sign in, we handle your email address, name and a device identifier (converted into a form that cannot be reversed). See our Privacy Policy (https://exvast.live/privacy.html) for details.
  2. The Software connects to the internet to sign you in, to check your subscription and to check for new versions. No personal information is sent when checking for new versions.

11. Third-party software and trademarks

  1. The Software uses FFmpeg (https://ffmpeg.org), licensed under the GNU Lesser General Public License (LGPL) version 2.1. The FFmpeg source code and the build configuration used for the Software are available at https://exvast.live/licenses.html. FFmpeg is a trademark of Fabrice Bellard. We are not affiliated with the FFmpeg project.
  2. The Software also includes other third-party open-source components (such as OpenSSL, libvpx, fonts, SheetJS and GSAP). Their licenses and copyright notices are available at https://exvast.live/licenses.html and inside the Software (EXVAST-GFX.app/Contents/Resources/third_party_notices). These components are subject to their own licenses.
  3. NDI® is a registered trademark of Vizrt NDI AB. The Software uses the NDI® SDK (https://ndi.video/). With respect to the NDI components (the NDI libraries and the protocols they use), you must not: modify them; reverse engineer, disassemble or recompile them, or attempt to do so; circumvent any of their technical limitations; or remove, obscure or alter any proprietary notices or labels. Vizrt NDI AB and its licensors disclaim all warranties for the NDI components and, to the extent permitted by law, disclaim all liability for any damages, whether direct, indirect, incidental or consequential, arising from the use of the Software. The NDI components are copyrighted by Vizrt NDI AB and its licensors.
  4. Blackmagic Design, DeckLink, UltraStudio and ATEM are trademarks of Blackmagic Design Pty. Ltd.
  5. Adobe and Photoshop are trademarks of Adobe. Microsoft and Excel are trademarks of Microsoft. These names are used only to describe the file formats the Software can read; we are not affiliated with these companies.
  6. Other company and product names (such as OBS, vMix and YouTube) are trademarks or registered trademarks of their respective owners.

12. Changes to these terms

We will announce any changes to these terms in the Software or on our website. For important changes, the Software will ask you to agree again when it starts.

13. Governing law and jurisdiction

  1. These terms are governed by the laws of Japan. This does not affect any rights you have as a consumer under the laws of the country where you live.
  2. The Tokyo District Court has exclusive jurisdiction as the court of first instance for any disputes relating to the Software.

14. Export

You must not export or re-export the Software in violation of the export laws and regulations of Japan, the United States or any other applicable country.

本規約は、EXVAST.LIVE(以下「当方」)が提供するソフトウェア「EXVAST-GFX」(以下「本ソフトウェア」)の利用条件を定めるものです。本ソフトウェアをインストールまたは起動した時点で、本規約に同意したものとみなします。

第1条(利用の許諾)

  1. 当方は、ご契約のプランの範囲で、本ソフトウェアを利用する権利(独占的でなく、譲渡できない権利)を許諾します。
  2. ひとつのアカウントで同時に使えるのは2台までです。
  3. 一度サインインすれば、インターネットにつながっていなくても7日間利用できます。7日を過ぎた場合は、インターネットにつないで確認が必要です。

第2条(作ったテロップの利用)

本ソフトウェアで作ったテロップや、テロップを入れた映像(配信・録画・画像を含みます)は、商用・非商用を問わず、ご自身の配信・録画・公開に自由にお使いいただけます。

第3条(料金・解約・返金)

  1. 有料プランは月ごとの自動更新です。お支払いは Stripe を通じて行います。
  2. 解約は、アカウントの設定からいつでもできます。解約すると、次の請求日から課金が止まり、それまでは引き続き利用できます。
  3. デジタル商品の性質上、お支払い済みの料金は返金しません。ただし、法律で返金が必要とされる場合は、この限りではありません。
  4. 購入の前に、無料お試しで、お使いの環境で動くかを確かめてください。無料お試しでは、映像に透かしが入り、配信は1回につき5分、録画は1回につき10分までです。
  5. 料金を変更する場合は、事前にお知らせします。

第4条(禁止事項)

次のことをしてはいけません。 1. 本ソフトウェアを改変・リバースエンジニアリング・逆コンパイル・逆アセンブルすること。ただし、法律で認められる範囲、および本ソフトウェアに含まれるオープンソースの部品のライセンスで認められる範囲を除きます(たとえば、LGPL でライセンスされている FFmpeg の部分を、ご自身で改変・差し替えて使うこと、およびそのための解析は禁止しません)。 2. 有料プランの認証を不正に回避・無効化・偽装すること 3. 本ソフトウェア、または本ソフトウェアに入っているデザイン(スコアボード等)を、無断で複製・再配布・販売すること 4. 法律に違反すること、または他人の権利を侵害すること

第5条(使う素材の権利)

チームのロゴ、選手の写真、映像、音楽、フォントなど、本ソフトウェアで使う素材の権利は、利用者ご自身の責任で確認してください。当方は、利用者の素材について権利を主張しません。

第6条(保証の否認)

本ソフトウェアは、法律で認められる範囲で、現状のまま提供されます。生配信や大切な試合の録画では、予備の録画を用意するなど、万一に備えてください。

第7条(責任の制限)

  1. 当方の故意または重大な過失による場合を除き、本ソフトウェアの利用に関して当方が負う責任は、損害が生じた月までの直近1か月分に利用者が当方に支払った料金の額を上限とします。
  2. 前項は、法律により制限できない責任には適用しません。

第8条(利用の停止)

利用者が本規約に違反した場合、当方は、事前の通知なく、その利用者の利用を停止することがあります。

第9条(サポートとアップデート)

当方は、不具合の修正やアップデートに努めますが、すべての環境での動作や、個別の機材の問題へのサポートを保証するものではありません。新しい版が出た時は、本ソフトウェアの起動時にお知らせすることがあります。

第10条(個人情報と通信)

  1. サインインのために、メールアドレス、お名前、利用している端末の識別情報(元に戻せない形に変えたもの)を扱います。詳しくはプライバシーポリシー(https://exvast.live/privacy.html)をご覧ください。
  2. 本ソフトウェアは、サインイン、ご契約の確認、新しい版の確認のために、インターネットに接続します。新しい版の確認では、個人の情報は送りません。

第11条(他社のソフトウェアと商標)

  1. 本ソフトウェアは、LGPL(GNU Lesser General Public License)バージョン2.1でライセンスされている FFmpeg(https://ffmpeg.org)を使用しています。FFmpeg のソースコードと、本ソフトウェアで使った組み立ての設定は、https://exvast.live/licenses.html で入手できます。FFmpeg は Fabrice Bellard の商標です。当方は FFmpeg の開発者と提携していません。
  2. 本ソフトウェアは、上記のほかにも、他社のオープンソースの部品(OpenSSL、libvpx、フォント、SheetJS、GSAP 等)を含みます。これらのライセンスと著作権の表示は、https://exvast.live/licenses.html と、本ソフトウェアの中(EXVAST-GFX.app/Contents/Resources/third_party_notices)にあります。これらの部品には、それぞれのライセンスが適用されます。
  3. NDI® は Vizrt NDI AB の登録商標です。本ソフトウェアは NDI® SDK を使用しています(https://ndi.video/)。NDI の部分(NDI のライブラリ、および NDI が使う通信の方式)について、次のことをしてはいけません:改変すること、リバースエンジニアリング・逆アセンブル・再コンパイルすること(およびその試み)、技術的な制限を回避すること、権利表示を削除・隠蔽・改変すること。NDI の部分について、Vizrt NDI AB およびそのライセンサーは一切の保証をせず、法律で認められる範囲で、本ソフトウェアの利用から生じるいかなる損害(直接・間接・付随的・結果的損害を含みます)についても責任を負いません。NDI の部分の著作権は Vizrt NDI AB(およびそのライセンサー)に帰属します。
  4. Blackmagic Design、DeckLink、UltraStudio、ATEM は Blackmagic Design Pty. Ltd. の商標です。
  5. Adobe、Photoshop は Adobe の商標です。Microsoft、Excel は Microsoft の商標です。本ソフトウェアがこれらのファイル形式を読み込めることを説明するために名前を記載しており、各社と提携しているものではありません。
  6. その他の会社名・製品名(OBS、vMix、YouTube 等)は、各社の商標または登録商標です。

第12条(規約の変更)

本規約を変更する場合は、本ソフトウェアまたはホームページでお知らせします。重要な変更の場合は、本ソフトウェアの起動時に、あらためて同意をお願いします。

第13条(準拠法・裁判所)

  1. 本規約は日本の法律に従います。ただし、利用者がお住まいの国の法律で、消費者として認められている権利は妨げられません。
  2. 本ソフトウェアに関する紛争は、東京地方裁判所を第一審の専属的合意管轄裁判所とします。

第14条(輸出)

本ソフトウェアを、日本および米国その他の適用される輸出に関する法令に違反して、輸出・再輸出してはいけません。
